Terms of Service

These Terms of Service (“Terms”) govern your use of the EEZYCLOUD platform and services provided by eezycloud LLC (“we”, “us”, or “our”). By accessing or using our services, you agree to be bound by these Terms.

1. Services

EEZYCLOUD provides cloud-hosted desktop environments, application hosting, and related services. We host your licensed software in our cloud infrastructure — we do not sell software licenses. You are responsible for maintaining valid licenses for any software you bring to our platform (BYOL — Bring Your Own License).

2. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.

3. Acceptable Use

You agree not to:

• Use the services for any unlawful purpose
• Attempt to gain unauthorized access to any systems or networks
• Interfere with or disrupt the services or servers
• Upload malicious code, viruses, or harmful content
• Use the services to store or transmit material that infringes third-party rights
• Resell or redistribute the services without written authorization
• Use the services for cryptocurrency mining or similar resource-intensive activities

4. Payment and Billing

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days’ notice. Failed payments may result in service suspension after a grace period.

5. Service Level

We target 99.9% uptime for our cloud services, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance when possible. We are not liable for downtime caused by factors outside our reasonable control.

6. Data and Backups

We perform regular backups of your cloud environment. However, you are responsible for maintaining your own backups of critical data. We recommend exporting important data regularly. In the event of data loss, our liability is limited to restoring from our most recent backup.

7. Intellectual Property

You retain ownership of your data and content. We retain ownership of the EEZYCLOUD platform, technology, and branding. You grant us a limited license to host and process your data solely to provide the services.

8. Termination

Either party may terminate this agreement at any time. Upon termination:

• We will provide a 30-day window to export your data
• After the export window, your data will be permanently deleted
• No refunds will be issued for unused portions of the billing period

We may suspend or terminate your account immediately for violations of these Terms or non-payment.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, eezycloud LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Indemnification

You agree to indemnify and hold harmless eezycloud LLC from any claims, damages, or expenses arising from your use of the services, your violation of these Terms, or your violation of any third-party rights.

12. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts located in the State of Florida.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use of the services after changes constitutes acceptance.

14. SMS / Text Messaging

By providing your mobile number and opting in to SMS messages from eezycloud LLC, you agree to receive automated text messages for account verification, service notifications, support, appointment reminders, and security alerts. Message frequency varies; standard message and data rates may apply. Reply STOP to opt out at any time, or HELP for assistance. See our Privacy Policy for details on how we handle SMS data. eezycloud LLC reserves the right to remove SMS access for users who abuse the service or violate our acceptable use policy.
